RedPaint Terms of Service

For Users, Vendors, Moderators, and Advertisers

Welcome to RedPaint.

These Terms of Service govern your access to and use of the RedPaint website, mobile application, vendor dashboard, advertising tools, loyalty features, moderation features, and all related services provided by RedPaint.

By accessing or using RedPaint, you agree to these Terms, our Privacy Policy, and our Content Guidelines. If you do not agree to these Terms, you may not use RedPaint.


1. About RedPaint

RedPaint is a mobile marketing and discovery platform that helps users discover businesses, offers, events, rewards, gifts, promotions, and relevant local experiences.

RedPaint also provides tools for businesses, referred to as Vendors, to manage their business profiles, publish content, promote offers and events, run campaigns, offer rewards, and engage with users.

The RedPaint platform includes:

  • The RedPaint mobile application.
  • The RedPaint website.
  • Vendor dashboards.
  • User accounts.
  • Moderator tools.
  • Advertising and campaign tools.
  • Loyalty points and rewards features.
  • Any future features, services, tools, or software made available by RedPaint.

Together, these are referred to as the RedPaint Platform or the Services.


2. Acceptance of These Terms

By using RedPaint, you confirm that you have read, understood, and agreed to these Terms.

You accept these Terms when you:

  • Create an account.
  • Click “Accept”, “Agree”, or a similar confirmation.
  • Use the RedPaint website, app, vendor dashboard, or any RedPaint service.
  • Upload, submit, publish, share, rate, review, promote, advertise, or interact with content on RedPaint.

These Terms apply to all users, including:

  • Regular users.
  • Vendors.
  • Moderators.
  • Advertisers.
  • Business representatives.
  • Any person or entity accessing or using RedPaint.

Your use of RedPaint may expose you to content submitted by other users, vendors, or third parties. Some content may be inaccurate, objectionable, outdated, or unsuitable. You use the Services at your own risk.


3. Definitions

For clarity, the following terms apply throughout these Terms.

“RedPaint”, “we”, “us”, or “our”

Refers to RedPaint, its owners, affiliates, related entities, service providers, successors, assigns, and any legal entity through which RedPaint conducts business.

“User”, “you”, or “your”

Refers to any person who accesses or uses RedPaint.

This includes users who browse, search, share, rate, review, bookmark, upload, display, publish, promote, redeem rewards, or otherwise interact with the Services.

“Vendor”

Refers to a business, merchant, establishment, or authorised representative that lists or claims a business profile on RedPaint and uses the platform to promote business information, offers, events, rewards, gifts, location data, contact details, or other content.

“Moderator”

Refers to a user who has been approved or upgraded to review, assess, or moderate content submitted to RedPaint, including text, images, photos, videos, menus, pricelists, location data, phone numbers, email addresses, and other content.

“Content”

Refers to any information, material, or media submitted, displayed, published, transmitted, or made available through RedPaint.

This includes, but is not limited to:

  • Text
  • Images
  • Photos
  • Audio
  • Video
  • Reviews
  • Ratings
  • Business names
  • Business descriptions
  • Menus
  • Pricelists
  • Offers
  • Events
  • Rewards
  • Gifts
  • Location data
  • Contact information
  • Advertisements
  • Reports
  • User profile information

“Your Content” or “User Content”

Refers to any content that you upload, submit, publish, share, send, display, or transmit through RedPaint.

“Vendor Content”

Refers to content uploaded, submitted, published, managed, or promoted by a Vendor or authorised business representative.

“RedPaint Content”

Refers to content created, owned, developed, compiled, generated, or made available by RedPaint.

This includes, but is not limited to:

  • The RedPaint name, brand, and logo.
  • Visual interfaces.
  • Software and source code.
  • Design elements.
  • Graphics.
  • Interactive features.
  • Reports.
  • Campaign data.
  • Aggregated data.
  • Platform functionality.
  • System-generated information.
  • Any other platform material owned or controlled by RedPaint.

“Third-Party Content”

Refers to content made available by third parties, including advertisers, linked websites, payment providers, vendors, public sources, or other external service providers.


4. Eligibility to Use RedPaint

You may only use RedPaint if you are legally able to enter into a binding agreement.

By using RedPaint, you confirm that:

  • You are at least 18 years old, or have the required legal capacity in your jurisdiction.
  • You have the authority to accept these Terms.
  • You will comply with all applicable laws.
  • You will not use RedPaint for unlawful, fraudulent, harmful, misleading, or unauthorised purposes.
  • If you act on behalf of a business, you are authorised to represent that business.

If you do not meet these requirements, you may not use RedPaint.


5. Changes to These Terms

RedPaint may update, amend, or replace these Terms from time to time.

When changes are made, the updated Terms will be published on the RedPaint website, app, or another appropriate platform location.

Your continued use of RedPaint after any update means that you accept the revised Terms.

You are responsible for reviewing these Terms periodically.


6. Language and Translations

These Terms may be translated into other languages for convenience.

If there is any conflict between the English version and a translated version, the English version will apply.


7. RedPaint Services and Platform Changes

RedPaint is continuously evolving. We may add, remove, update, suspend, limit, or discontinue any feature, product, service, tool, campaign type, pricing model, reward feature, user function, vendor function, or moderation function at any time.

This may include changes to:

  • The RedPaint app.
  • The website.
  • Vendor dashboards.
  • Campaign tools.
  • Push notification features.
  • Location-based features.
  • Loyalty points.
  • Rewards.
  • Advertising tools.
  • Moderation systems.
  • User access.
  • Pricing.
  • Reporting features.

We may also release software updates, upgrades, bug fixes, security improvements, or feature changes. You may be required to install updates to continue using RedPaint properly.

RedPaint may also set limits on usage, including limits on messages, transmissions, campaigns, uploads, notifications, content, rewards, or access to platform features.


8. Account Registration and Security

Some RedPaint features require you to create an account.

When creating or using an account, you agree that:

  • The information you provide must be accurate, complete, truthful, and current.
  • You will keep your login details secure.
  • You are responsible for all activity under your account.
  • You will not allow another person to use your account without authorisation.
  • You will notify RedPaint if you suspect unauthorised use of your account.

You may not:

  • Impersonate another person or business.
  • Use another person’s email address without permission.
  • Create accounts using false information.
  • Create multiple accounts to abuse the platform.
  • Access or attempt to access an account that does not belong to you.
  • Claim a business listing you are not legally entitled to manage.

RedPaint may suspend, restrict, or delete accounts that violate these rules.


9. Vendor Accounts and Business Listings

Vendors may create, claim, or manage business listings through RedPaint.

If you create or claim a Vendor account, you confirm that:

  • You are the owner of the business, or authorised to act on behalf of the business.
  • All business information you submit is accurate and current.
  • You have the right to upload, publish, and promote the content you submit.
  • Your offers, events, gifts, and rewards are genuine and can be honoured.
  • Your use of RedPaint complies with all applicable laws and regulations.

You may not:

  • Claim a business listing fraudulently.
  • Create duplicate business listings without permission.
  • Misrepresent your relationship with a business.
  • Upload false, misleading, or deceptive business information.
  • Use RedPaint to promote unrelated or unauthorised products, services, or businesses.

Falsely claiming or misusing a business listing may cause harm to the legitimate business, RedPaint, users, or third parties. You may be held responsible for resulting losses or damages.


10. Vendor Moderation Restrictions

To preserve fairness and neutrality, Vendors may not moderate their own business listings or use another user account to influence moderation.

If you have a Vendor account, you may not:

  • Act as a Moderator for your own business.
  • Create or use another account to moderate your own content.
  • Influence or attempt to influence the moderation of your content improperly.
  • Offer money, gifts, meals, drinks, discounts, or benefits to Moderators in exchange for approval.

Any attempt to self-moderate or manipulate the moderation process may result in immediate suspension or termination of your Vendor account, user account, or both.

RedPaint may also take further action where your conduct causes loss, damage, reputational harm, or legal exposure to RedPaint or any third party.


11. Communication Consent

By creating an account or using RedPaint, you agree to receive communications related to the Services.

These may include:

  • Emails.
  • SMS messages.
  • Push notifications.
  • Account alerts.
  • Security notifications.
  • Campaign notifications.
  • Vendor communications.
  • Invitations.
  • Shared content.
  • Service updates.
  • Promotional or marketing messages, where permitted.

You may manage or disable certain non-essential communications through your device settings, app settings, or account preferences.

Some transactional, security, administrative, or service-related communications may still be sent where necessary.


12. Location Services and Permissions

RedPaint uses location-based technology to provide relevant discovery, proximity marketing, targeted promotions, and location-based user experiences.

By using the RedPaint app and granting location permissions, you allow RedPaint to collect and process your device location, including GPS-based latitude and longitude, in accordance with our Privacy Policy.

Location data may be used to:

  • Show users relevant businesses near them.
  • Improve discovery of nearby offers, events, rewards, and promotions.
  • Enable vendors to target users in selected areas.
  • Deliver timely push notifications based on proximity.
  • Improve app functionality and user relevance.

Background Location

Some RedPaint features may require background location access, meaning the app may update your location even when you are not actively using it.

Background location may be used to:

  • Send relevant real-time promotions when you are near participating vendors.
  • Help vendors reach users in specific target areas.
  • Improve the timing and relevance of push notifications.
  • Keep location-based discovery more accurate.

For example, if a vendor sends an Instant Boost campaign to users within a selected radius, you may receive a push notification because your device location was updated in the background.

User Control

You remain in control of location permissions.

You may disable or limit location access at any time through:

  • Your device settings.
  • The RedPaint app preferences, where available.
  • Push notification preferences, where available.

If you disable or limit location access, some RedPaint features may not work correctly or may become less relevant.

RedPaint processes location data in accordance with its Privacy Policy.


13. Connecting With Vendors

RedPaint may allow users to contact Vendors directly through phone numbers, contact forms, website links, booking forms, or other communication tools.

Phone Calls

If you call a Vendor using contact details found on RedPaint, the call takes place between you and the Vendor.

The Vendor may record calls or collect call-related information for its own business purposes. It is the Vendor’s responsibility to comply with applicable laws and inform you of any call recording.

RedPaint is not responsible for a Vendor’s call recording practices.

Contact Forms and Enquiries

RedPaint may provide enquiry, booking, or contact forms on Vendor profiles.

These forms must only be used for legitimate enquiries, bookings, or communication with the Vendor.

Users may not use contact forms to:

  • Spam Vendors.
  • Promote unrelated businesses.
  • Send unsolicited advertising.
  • Harass, threaten, or abuse Vendors.
  • Misuse Vendor contact information.

Misuse may result in account restriction, blacklisting, suspension, or deletion.


14. Proper Use of RedPaint

You agree to use RedPaint only for lawful, authorised, and intended purposes.

You may not:

  • Access RedPaint through unauthorised means.
  • Use scripts, bots, scrapers, crawlers, or automated tools without written permission.
  • Attempt to bypass security, usage limits, or access controls.
  • Interfere with RedPaint’s servers, networks, software, or functionality.
  • Delete, alter, or misuse content posted by other users.
  • Send spam, junk mail, chain letters, or unsolicited promotional messages.
  • Use RedPaint data for commercial purposes without written permission.
  • Collect or store personal information about other users without permission.
  • Use RedPaint in a way that violates these Terms, our Privacy Policy, our Content Guidelines, or applicable law.

You may access RedPaint only through the official interfaces made available by RedPaint, unless RedPaint gives you written permission to use another method.


15. Content Ownership

RedPaint Content

RedPaint owns or controls all rights in the RedPaint Platform and RedPaint Content, including all:

  • Copyrights.
  • Trademarks.
  • Logos.
  • Trade names.
  • Designs.
  • Software.
  • Source code.
  • Interfaces.
  • Databases.
  • Reports.
  • Systems.
  • Features.
  • Intellectual property rights.

You may not copy, modify, reproduce, distribute, sell, licence, display, scrape, reverse engineer, frame, or exploit any RedPaint Content without our written permission.

You may not remove or obscure any copyright, trademark, logo, proprietary notice, source identifier, or brand element belonging to RedPaint.

Your Content

You retain ownership of content you submit, upload, or publish, subject to the licence granted to RedPaint below.

You are solely responsible for Your Content.

By submitting content to RedPaint, you confirm that:

  • You own the content, or have permission to use it.
  • The content is accurate and lawful.
  • The content does not infringe the rights of any third party.
  • The content does not violate RedPaint’s Content Guidelines.
  • The content does not mislead users.
  • The content does not contain unlawful, harmful, offensive, defamatory, discriminatory, or objectionable material.

16. Licence You Grant to RedPaint

By submitting, uploading, publishing, or sharing content on RedPaint, you grant RedPaint a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable, perpetual, and irrevocable licence to use that content.

This licence allows RedPaint to:

  • Host your content.
  • Display your content.
  • Publish your content.
  • Promote your content.
  • Copy and store your content.
  • Format, resize, crop, edit, or adapt your content for platform use.
  • Include your content in advertising, marketing, reports, analytics, listings, feeds, search results, and platform features.
  • Make your content available through current or future RedPaint services, technologies, integrations, or partnerships.
  • Use your name, business name, username, logo, or related identifying information in connection with your content.

You also waive, to the extent permitted by law, any moral rights or similar rights that may prevent RedPaint from using your content in accordance with these Terms.


17. Content Moderation and Removal

RedPaint may review, moderate, approve, decline, edit, disable, block, or remove content at its discretion.

This may happen before or after publication.

Content may be removed or declined if RedPaint believes it:

  • Violates these Terms.
  • Violates the Content Guidelines.
  • Violates applicable law.
  • Is misleading, inaccurate, inappropriate, offensive, harmful, or objectionable.
  • Infringes another party’s rights.
  • Creates risk for RedPaint, users, Vendors, Moderators, advertisers, or third parties.
  • Harms the quality, integrity, trust, or usability of the platform.

RedPaint is not required to return content to you after removal.

RedPaint is not responsible for preserving copies of Your Content.


18. Third-Party Content, Links, and Services

RedPaint may contain links to third-party websites, platforms, advertisements, services, payment gateways, maps, content, or external resources.

RedPaint may also receive business information, addresses, phone numbers, public data, or other information from third-party sources.

RedPaint does not control and is not responsible for:

  • Third-party websites.
  • Third-party advertisements.
  • Third-party services.
  • Third-party content.
  • Third-party payment systems.
  • Third-party terms and policies.
  • The accuracy or availability of third-party information.
  • Products or services offered by third parties.
  • Losses or disputes arising from third-party dealings.

Your use of third-party services is subject to that third party’s own terms and privacy policies.


19. Content Guidelines and Privacy Policy

By using RedPaint, you confirm that you have read, understood, and agreed to:

RedPaint may disclose information where reasonably necessary to:

  • Comply with legal processes.
  • Respond to lawful government or regulatory requests.
  • Investigate suspected illegal activity.
  • Enforce these Terms.
  • Protect RedPaint’s rights, reputation, property, users, Vendors, Moderators, affiliates, or the public.
  • Prevent fraud, abuse, or misuse of the platform.

20. Prohibited Conduct

You may not upload, submit, publish, transmit, promote, or engage in any activity that RedPaint considers inappropriate, unlawful, harmful, or contrary to these Terms.

This includes content or conduct that:

  • Violates the Content Guidelines.
  • Is harmful, threatening, abusive, harassing, defamatory, discriminatory, vulgar, obscene, hateful, or otherwise objectionable.
  • Invades another person’s privacy.
  • Promotes money laundering, gambling, fraud, or unlawful conduct.
  • Violates any intellectual property right, privacy right, publicity right, contractual right, or proprietary right.
  • Impersonates another person, business, Vendor, Moderator, or entity.
  • Misrepresents your identity, affiliation, authority, or source of content.
  • Falsely suggests endorsement, sponsorship, or approval by RedPaint.
  • Uses another user’s account without permission.
  • Contains malware, viruses, harmful code, or disruptive software.
  • Interferes with RedPaint’s systems, servers, networks, security, or functionality.
  • Attempts to hack, reverse engineer, decompile, or access RedPaint’s confidential systems or source code.
  • Circumvents access controls, security measures, or usage restrictions.
  • Collects, stores, scrapes, or misuses personal information.
  • Is submitted by bots or unauthorised automated processes.
  • Harms minors.
  • Encourages unlawful activity or public disorder.
  • Contains false allegations of illegal activity, physical confrontation, or health and safety violations better suited to competent authorities.
  • Copies, scrapes, sells, licenses, republishes, or commercially exploits RedPaint Content without permission.
  • Attempts to do any of the above.

RedPaint may investigate, remove content, suspend accounts, terminate access, or take any other appropriate action where these rules are breached.


21. User Feedback and Ideas

If you send RedPaint feedback, suggestions, comments, ideas, improvements, documents, or proposals, you agree that:

  • The feedback is not confidential.
  • RedPaint may use it without restriction.
  • RedPaint does not owe you compensation.
  • RedPaint may already be developing similar ideas.
  • RedPaint may modify, publish, distribute, develop, or commercialise the feedback.

Please do not submit confidential, proprietary, or unsolicited business ideas unless you are willing for RedPaint to use them without obligation to you.

If you submit unsolicited ideas despite this warning, you agree that RedPaint may use, develop, adapt, publish, or redistribute them for any purpose without compensation or confidentiality obligations.


22. Advertising

RedPaint may display advertisements, promotions, sponsored content, banner adverts, vendor promotions, or other commercial content.

Advertising may be based on:

  • User location.
  • User preferences.
  • Vendor targeting.
  • Platform activity.
  • Search queries.
  • Categories.
  • Campaign settings.
  • Other information permitted under our Privacy Policy.

The format, placement, frequency, targeting, pricing, and availability of advertising may change at any time.

Where advertising or promotional material is submitted by Vendors, advertisers, users, or third parties, the party submitting the material is responsible for ensuring that it complies with applicable law and RedPaint’s policies.

RedPaint is not responsible for:

  • Errors or omissions in third-party advertising.
  • Inaccurate promotional claims by Vendors or advertisers.
  • Products or services promoted by third parties.
  • Transactions between users and advertisers.
  • Losses arising from reliance on advertising content.

23. Loyalty Points

RedPaint may offer loyalty points, reward points, referral incentives, or similar programs.

These programs may include:

  • Points earned for sharing RedPaint.
  • Points earned for inviting users or businesses.
  • Points earned for sharing Vendor content.
  • Points earned for rating Vendors.
  • Points redeemable at participating Vendors.
  • Vendor-specific loyalty points.
  • RedPaint platform loyalty points.

The number of points earned for any action is determined by RedPaint and may be changed, limited, suspended, or discontinued at any time.

Loyalty points:

  • Have no cash value.
  • Cannot be exchanged for money.
  • Cannot be transferred unless RedPaint expressly allows it.
  • May only be redeemed through the RedPaint app where permitted.
  • May expire, be adjusted, be cancelled, or be forfeited in accordance with RedPaint’s rules.
  • May be lost if a Vendor closes, is removed, stops participating, or no longer offers rewards.

RedPaint may suspend, cancel, or adjust loyalty points if it suspects fraud, abuse, system manipulation, unlawful conduct, or breach of these Terms.


24. Rewards

Vendors may choose to offer rewards, gifts, discounts, products, services, or other benefits to users through RedPaint.

The Vendor is responsible for:

  • Creating the reward.
  • Setting the points value.
  • Describing the reward accurately.
  • Ensuring the reward is available.
  • Honouring the reward while it is active.
  • Complying with all applicable laws.
  • Training staff to process redemptions correctly.

RedPaint acts as a platform between users and Vendors. RedPaint is not responsible for a Vendor’s failure to honour a reward, offer, gift, product, or service.

If a Vendor refuses to honour a reward that appears to be valid, users may contact RedPaint Support. RedPaint may assist where reasonable, but the responsibility to fulfil the reward remains with the Vendor.


25. Redeeming Loyalty Points

Loyalty points may only be redeemed at the physical premises of a participating Vendor, unless RedPaint expressly allows another redemption method.

To redeem points, users must:

  • Visit the participating Vendor.
  • Open the RedPaint app.
  • Present the relevant reward or points balance to the Vendor or its authorised representative.
  • Follow the redemption steps in the app.
  • Ensure that each reward is redeemed individually where multiple rewards are claimed.

Purchase Requirement

To redeem loyalty points for a reward, the user must make a purchase from the Vendor.

Vendors may not set a minimum or maximum purchase value for this purpose unless RedPaint expressly allows it.

Group Redemptions

A user may redeem points for multiple people in a group, provided that a qualifying purchase is made for each person receiving a reward.

24-Hour Redemption Rule

A user may only redeem loyalty points for a reward once every 24 hours, unless RedPaint allows otherwise.

Where rewards are redeemed for people in a group, the Vendor is responsible for monitoring and enforcing the 24-hour rule.

Vendor Responsibility

Vendors are responsible for enforcing redemption rules at their premises.

RedPaint is not liable if a Vendor incorrectly accepts, refuses, records, or manages a redemption.


26. Vendor Pricing, Campaigns, and Payments

Vendors may pay RedPaint to promote offers, events, campaigns, banner advertisements, or other content.

Campaign pricing may be calculated using factors such as:

  • Selected target audience.
  • Reach.
  • Location or geofence selection.
  • Number of scheduled sends.
  • Campaign type.
  • Cost per user.
  • Clicks.
  • Views.
  • Engagements.
  • RedPaint’s pricing rules at the time.

RedPaint may change pricing, fees, credit values, campaign structures, and payment rules at any time.

By submitting a paid campaign, the Vendor agrees to pay the applicable amount shown or calculated at checkout.


27. Red Beans, Credits, and Platform Currency

RedPaint may use virtual credits, including Red Beans, to process or measure certain paid engagements, clicks, views, advertising activity, or promotional features.

Unless expressly stated otherwise:

  • Credits have no cash value outside RedPaint.
  • Credits are not legal currency.
  • Credits cannot be redeemed for cash.
  • Credits may be used only within RedPaint.
  • RedPaint may change the value, rules, availability, or usage of credits at any time.
  • Credits may be deducted when users view, click, engage with, or interact with Vendor content, depending on RedPaint’s pricing model.

RedPaint may suspend, reverse, cancel, or adjust credits where fraud, abuse, system error, non-payment, or breach of these Terms is suspected.


28. Moderator Compensation

Moderators may receive compensation from RedPaint for approved moderation services, subject to the applicable Moderator Agreement and RedPaint’s internal rules.

Moderator compensation may be calculated based on a percentage, formula, campaign-related value, vendor-linked activity, or other method determined by RedPaint.

RedPaint may change Moderator compensation rules, percentages, eligibility, or payment methods at any time, unless otherwise agreed in writing.

Moderators must not disclose confidential information obtained through moderation tools, including Vendor campaign spend, reporting, or commission-related information.


29. Payment Providers

RedPaint may use third-party payment providers, including PayFast in South Africa, to process payments from Vendors and payments to Moderators.

By using payment-related features, you agree to comply with the applicable payment provider’s terms, policies, verification requirements, and processes.

RedPaint does not collect or store your full bank card or banking details during third-party payment transactions, except as described in our Privacy Policy or where required for payment administration.

RedPaint is not responsible for delays, errors, failed transactions, verification issues, account restrictions, or losses caused by third-party payment providers.


30. No Guarantee of Vendor Goods, Services, or Prices

RedPaint does not guarantee:

  • The quality of any Vendor’s goods or services.
  • The accuracy of Vendor prices.
  • The availability of offers, events, menu items, products, rewards, or services.
  • The accuracy of Vendor business hours.
  • The conduct of Vendors, users, advertisers, or third parties.
  • The outcome of any transaction between a user and Vendor.

Users are responsible for confirming details directly with Vendors where necessary.

Vendors are responsible for keeping their information accurate and current.


31. Disclaimer of Warranties

To the fullest extent permitted by law, RedPaint provides the Services on an “as is” and “as available” basis.

RedPaint does not guarantee that:

  • The Services will always be available.
  • The Services will be uninterrupted or error-free.
  • The Services will be secure or free of viruses.
  • Content will always be accurate, complete, current, or reliable.
  • Any defects will be corrected immediately.
  • Any user, Vendor, Moderator, advertiser, or third party will act lawfully, honestly, or reliably.
  • RedPaint will meet your expectations or produce any specific result.

You use RedPaint at your own risk.

Any material downloaded, accessed, or used through RedPaint is done at your own discretion and risk.


32. Limitation of Liability

To the fullest extent permitted by law, RedPaint, its owners, directors, officers, employees, contractors, affiliates, agents, service providers, licensors, and related parties will not be liable for any loss or damage arising from:

  • Errors, omissions, or inaccuracies in content.
  • Your use of or inability to use the Services.
  • Personal injury or property damage.
  • Unauthorised access to servers, accounts, or information.
  • Interruptions, delays, bugs, viruses, or system failures.
  • Loss of data or content.
  • Vendor conduct or failure to deliver goods, services, offers, or rewards.
  • Third-party advertisements, websites, services, or payment providers.
  • Reliance on any content, pricing, offer, promotion, or advertisement.
  • Disclosure of information permitted by these Terms or the Privacy Policy.
  • Your failure to secure your account or password.
  • Any indirect, incidental, special, punitive, exemplary, consequential, or economic loss.
  • Loss of profit, goodwill, business reputation, data, revenue, opportunity, or expected savings.

Unless otherwise required by applicable law or agreed in writing, RedPaint’s total liability to you for any claim will be limited to the amount permitted under applicable law, or where enforceable, the equivalent of ZAR200.

Some jurisdictions do not allow certain exclusions or limitations. Where the law does not allow a limitation, that limitation will apply only to the maximum extent permitted.


33. Indemnity

You agree to indemnify and hold RedPaint harmless from any claims, losses, damages, liabilities, costs, expenses, or legal fees arising from:

  • Your Content.
  • Your use or misuse of RedPaint.
  • Your breach of these Terms.
  • Your violation of any law.
  • Your violation of another party’s rights.
  • Your unauthorised use of a business listing.
  • Your misuse of rewards, loyalty points, campaigns, payments, or Vendor tools.
  • Any claim that Your Content infringes another person’s rights.

RedPaint may take control of the defence or settlement of any claim where you are required to indemnify us. You agree to cooperate with RedPaint in such matters.

You may not settle any claim involving RedPaint without our written consent.


34. Suspension and Termination

You may stop using RedPaint at any time. You may also request account deletion through the appropriate RedPaint support channel or by using any available in-app account deletion feature.

RedPaint may suspend, restrict, deactivate, or terminate your access at any time if:

  • You breach these Terms.
  • You violate the Content Guidelines.
  • You violate the Privacy Policy.
  • You misuse the Services.
  • You submit false or misleading information.
  • You act unlawfully, fraudulently, abusively, or dishonestly.
  • You interfere with platform integrity.
  • Your account is inactive.
  • RedPaint decides to discontinue or restrict access to any service.

Termination may occur with or without prior notice.

After termination, you may lose access to:

  • Your account.
  • Your content.
  • Vendor dashboard tools.
  • Loyalty points.
  • Rewards.
  • Campaign data.
  • Credits.
  • Reports.
  • Any other platform features.

RedPaint is not liable to you or any third party for terminating or restricting your access.


35. Account Deletion and Data Retention

You may request deletion of your account by contacting RedPaint Support or using any available account deletion function.

Deleting the app from your device may stop your use of the Services, but it may not automatically delete your account or all data associated with your account.

RedPaint may retain certain information where required or permitted by law, including for:

  • Legal compliance.
  • Fraud prevention.
  • Dispute resolution.
  • Enforcement of these Terms.
  • Accounting and payment records.
  • Security and platform integrity.
  • Backup and archival purposes.

Data will be handled in accordance with RedPaint’s Privacy Policy.


36. General Legal Terms

Entire Agreement

These Terms, together with the Privacy Policy and Content Guidelines, form the entire agreement between you and RedPaint regarding your use of the Services.

No Partnership or Agency

Nothing in these Terms creates a partnership, employment relationship, agency relationship, franchise, joint venture, or authority for you to bind RedPaint.

No Waiver

If RedPaint does not enforce a right immediately, that does not mean RedPaint waives that right.

Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining sections will remain in effect.

Headings

Headings are included for convenience only and do not affect the interpretation of these Terms.

Mobile and Data Charges

You are responsible for any mobile data, internet, SMS, or network charges that may apply when using RedPaint.


37. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa.

If you reside in South Africa, you agree that any dispute with RedPaint must be resolved by the courts located in Pretoria, South Africa, unless applicable law requires otherwise.

If you reside outside South Africa, you agree that the laws of South Africa apply and that the courts located in Pretoria, South Africa, will have jurisdiction, unless applicable law requires otherwise.

To the extent permitted by law, any legal claim against RedPaint must be brought within one year from the date on which the alleged harm first occurred.


38. Linking and Framing

You may link to RedPaint, provided that the link does not appear on or from any website, platform, or content that is unlawful, defamatory, obscene, offensive, infringing, misleading, or harmful.

You may not frame, mirror, embed, or display RedPaint or RedPaint Content in a way that suggests affiliation, endorsement, ownership, or control without our written permission.


39. Copyright Complaints and Takedown Requests

RedPaint respects intellectual property rights.

If you believe that content on RedPaint infringes your copyright, you may submit a written complaint to:

  1. Identification of the copyrighted work you claim has been infringed.
  2. Identification of the content on RedPaint that you believe is infringing.

  5. A statement that you believe in good faith that the use of the content is not authorised by the copyright owner, its agent, or the law.
  6. A statement that the information in your complaint is accurate and that you are the copyright owner or authorised to act on behalf of the copyright owner.
  7. Your physical or electronic signature.

RedPaint may remove or disable access to content that appears to infringe copyright.

Users who repeatedly infringe intellectual property rights may have their accounts suspended or terminated.

You may be liable if you knowingly submit a false or misleading copyright complaint.
